Terms of Use
These Terms of Use (the "Terms") form a binding agreement between you and Sourcebook ("Sourcebook," "we," "us," or "our") governing access to and use of the Sourcebook website, application, APIs, and related services (collectively, the "Service").
By creating an account, clicking to accept, connecting a third-party service (including QuickBooks Online), or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.
Not legal, tax, or accounting advice. Sourcebook is a data import, mapping, and organization tool. We are not a CPA firm, bookkeeper, or Intuit affiliate. You remain solely responsible for your books, filings, and compliance.
1. Eligibility and accounts
- You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract.
- You must provide accurate account information and keep it updated.
- You are responsible for safeguarding credentials and for all activity under your account. Notify us promptly of unauthorized use.
- Organization owners are responsible for Authorized Users they invite and for Customer Data in the workspace.
- We may refuse, suspend, or terminate accounts that violate these Terms or present risk to the Service or others.
2. The Service
The Service helps businesses upload or sync operational and accounting exports, map and match records, and maintain a unified company database. Features may include file import, recognition and mapping workflows, entity matching, and optional connections to third-party software such as QuickBooks Online.
We may modify, suspend, or discontinue features with or without notice, including to comply with law or third-party platform requirements (including Intuit). We do not guarantee uninterrupted or error-free operation.
3. Customer Data and license
"Customer Data" means data you or your Authorized Users submit to the Service, including uploaded files, import rows, mappings, match decisions, master data, and data retrieved from connected systems (including QuickBooks Online).
- Ownership. As between you and us, you retain all rights in Customer Data. We do not claim ownership of your Customer Data.
- License to us. You grant us a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, display, and create derivative works of Customer Data solely to provide, secure, maintain, and improve the Service, to prevent or address abuse/security issues, and as otherwise permitted by these Terms or your instructions.
- Your responsibilities. You represent and warrant that you have all rights, consents, and authority needed to provide Customer Data and to authorize our processing (including any employee, customer, vendor, or financial data). You are responsible for the accuracy and legality of Customer Data and for configuring access within your Organization.
- No misuse of others' data. You will not upload or sync data you are not authorized to use, and you will not use the Service to violate privacy, confidentiality, or export-control laws.
4. QuickBooks Online and third-party integrations
The Service may allow you to connect QuickBooks Online (and other products) via OAuth and third-party integration infrastructure. This section is critical if you use those features.
- No affiliation. Sourcebook is an independent application. Intuit Inc., QuickBooks, and related marks are trademarks of Intuit. We are not endorsed, sponsored, or affiliated with Intuit except as a developer using Intuit APIs under Intuit's developer terms.
- Your authorization. By connecting QuickBooks Online, you authorize us (and our integration providers) to access and retrieve data from your QuickBooks company file/company ID as permitted by the OAuth scopes you approve (typically QuickBooks accounting scopes) and as you request within the Service (for example accounts, purchases, deposits, transfers, payments, and bill payments).
- Intuit terms apply. Your use of QuickBooks Online remains subject to Intuit's terms, privacy statement, and policies. You must comply with them. If Intuit suspends or limits API access, related features may stop working.
- Read-oriented use. Unless we expressly offer write-back features and you enable them, QuickBooks integration is used to pull data into Sourcebook for import, mapping, matching, and organization—not to replace your books of record in QuickBooks.
- Disconnect. You may disconnect the integration in the Service or revoke access in Intuit. We may also disconnect if required for security, legal, or platform-compliance reasons. Disconnecting does not automatically delete previously imported Customer Data unless you delete it or request deletion.
- Third-party risk. We are not responsible for third-party services (including Intuit, Google, Nango, or hosting providers), their availability, accuracy, or security practices, except as required by non-waivable law.
- Platform compliance. You agree not to use the integration in any way that violates Intuit Developer Terms, App Store / platform requirements, or applicable privacy laws (including misuse or unauthorized sharing of Intuit customer data).
5. Acceptable use
You will not, and will not allow others to:
- Violate law, regulation, or third-party rights (including privacy, IP, and confidentiality).
- Probe, scan, or test vulnerability of the Service except with our prior written consent; reverse engineer except to the extent non-waivable law allows.
- Interfere with or disrupt the Service, circumvent access controls, or impose unreasonable load.
- Upload malware, or use the Service to distribute spam or unlawful content.
- Resell, sublicense, or provide the Service to third parties as a competing service bureau except under a separate written agreement with us.
- Misrepresent affiliation with Intuit, QuickBooks, or Sourcebook.
- Use Customer Data (including QuickBooks data) outside the purposes authorized by the data owner / Customer.
- Attempt to access another Organization’s workspace or data without authorization.
6. Intellectual property
The Service—including software, UI, documentation, logos, and branding—is owned by Sourcebook and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes.
Feedback you provide may be used by us without restriction or compensation. You grant us a perpetual, irrevocable, royalty-free license to use feedback to improve the Service.
7. Fees (if applicable)
Some features may be free during a beta or early-access period. If we introduce paid plans, applicable pricing, billing terms, and taxes will be presented at purchase or in an order form. Unless stated otherwise, fees are non-refundable except as required by law. We may change prices with notice for subsequent billing periods.
8. Confidentiality
Each party may receive non-public information from the other ("Confidential Information"). The receiving party will use it only to perform under these Terms and will protect it with reasonable care. Customer Data is your Confidential Information. Exceptions: information that is or becomes public through no fault of the receiver; was already known; is independently developed; or is rightfully received from a third party. Disclosure may be made if required by law, with prior notice where legally permitted.
9. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that Customer Data (including data from QuickBooks Online or imports) will be accurate, complete, or correctly matched or mapped. You are solely responsible for reviewing outputs before relying on them for accounting, tax, payroll, or compliance decisions.
10. Limitation of liability
To the maximum extent permitted by law, Sourcebook and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; or any loss of profits, revenue, data, goodwill, or business interruption; arising out of or related to the Service or these Terms, whether in contract, tort (including negligence), or otherwise, even if advised of the possibility.
Our aggregate liability for all claims relating to the Service or these Terms will not exceed the greater of (a) amounts you paid us for the Service in the twelve (12) months before the claim, or (b) one hundred U.S. dollars (US $100) if you have not paid any fees. The foregoing limits do not apply to liability that cannot be limited under applicable law.
11. Indemnification
You will defend, indemnify, and hold harmless Sourcebook and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Customer Data; (b) your use of the Service; (c) your connection to or use of QuickBooks Online or other third-party services; (d) your violation of these Terms or law; or (e) disputes among Authorized Users or between you and third parties (including Intuit customers or your end customers/employees).
12. Term and termination
- These Terms apply until terminated. You may stop using the Service at any time and may request account closure.
- We may suspend or terminate access immediately if you breach these Terms, create risk or legal exposure, or if required by a third-party platform (including Intuit) or by law.
- Upon termination, your right to use the Service ends. Sections that by nature should survive (including ownership, Customer Data license as needed for wind-down, disclaimers, limitations, indemnity, and governing law) will survive.
- We may delete Customer Data after termination according to our retention practices and Privacy Policy, subject to legal holds.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules. Except where prohibited, exclusive venue for disputes will be the state or federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction there.
Informal resolution. Before filing a claim, you agree to try to resolve the dispute informally by emailing legal@sourcebook.me with a brief description. If not resolved within thirty (30) days, either party may pursue formal proceedings.
Class action waiver. To the extent permitted by law, disputes must be brought in an individual capacity, not as a plaintiff or class member in any class, consolidated, or representative proceeding.
14. Export and sanctions
You may not use the Service if you are subject to U.S. or other applicable sanctions or if your use would violate export control or sanctions laws. You represent that you are not located in a prohibited jurisdiction and are not a prohibited party.
15. Changes to the Terms
We may update these Terms from time to time. We will post the updated Terms with a revised date. Material changes may be communicated by email or in-product notice where appropriate. Continued use after the effective date constitutes acceptance, except where applicable law requires a different method of acceptance. If you do not agree, stop using the Service and disconnect third-party integrations.
16. Miscellaneous
- Entire agreement. These Terms and the Privacy Policy are the entire agreement regarding the Service and supersede prior agreements on the subject (except a separate signed enterprise agreement, which controls if it conflicts).
- Severability. If a provision is unenforceable, the remainder remains in effect.
- Waiver. Failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a corporate transaction.
- Force majeure. We are not liable for delays or failures due to events beyond reasonable control, including third-party platform outages.
- Notices. We may notify you via the Service, email, or your account contact. Legal notices to us: legal@sourcebook.me.
- Government use. If you are a government entity, the Service is commercial computer software / commercial items under applicable acquisition regulations.
